Scanz Auto - Terms of Use

These Terms of Use ("Terms") apply to and govern your use of the Scanz website located at www.scanzauto.com, the Scanz mobile application, the Scanz Fleet mobile application, the Scanz Link OBDII Bluetooth device, Scanz Hub, and all other sites, products, services, applications, platforms and tools where these Terms appear or are linked (collectively, the “Platform”). As used in these Terms, “Scanz”, “us” or “we” refers to Scanz Automotive, LLC and its subsidiaries and affiliates, and “you” and “your” refer to the individual user, or if a user is using the Platform on behalf of an entity, the words “you” and “your” include the individual user and such entity.
By installing, accessing, logging into, or otherwise using this Platform (including any content, material, functionality, or services provided through the Platform), you agree to the terms and conditions set forth below. If you disagree with any of the terms herein, do not use this Platform. We reserve the right to change these Terms at any time, and your continued use of the Platform following the posting of changes to these Terms means that you accept those changes.

1. Eligibility and Accounts

Users may need to register to use certain services and features of the Platform. You must be at least 18 years old to create an account or use the Platform, and by registering for an account you represent that you are at least 18 years old. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

2. Privacy

Your use of the Platform is governed by our Privacy Statement, which explains how we collect, use, and protect your information. These Terms of Use should be read together with our Privacy Statement to understand your rights and responsibilities when using Scanz products and services.

3. Equipment and Data

Use of some portions or functionalities of the Platform require use of a Scanz Link OBDII Bluetooth device (a “Scanz Link Device”) connected to your vehicle. By using the Platform, you grant Scanz a non-exclusive, worldwide, royalty-free, perpetual license to use, analyze, and aggregate any diagnostic, performance, and aggregated data derived from the Platform and/or the connected Scanz Link Device for purposes including but not limited to analytics, improvement of services, and research. You further agree that Scanz may, but is not obligated to, provide applicable account and vehicle information to the specific service centers or stores you designate on the Platform, and you understand and agree that Scanz may have access to the location of a vehicle when connected to the Scanz Link Device.

4. Intellectual Property

All material on the Platform (including all content, images, audio, text, icons, displays, data, trademarks, trade names, logos, software, technology, products, and information) is the property of Scanz (or its licensors) and is protected by intellectual property laws. You may not copy, modify, distribute, sell, lease, reverse engineer, or otherwise exploit any part of the Platform without our prior written consent.

You acknowledge and agree that except as specifically stated, nothing herein grants to you any right, title, or interest in and to this Platform, any linked site, or any materials on this Platform. If you post or submit comments, reviews, suggestions, or other content or submit any other material on or through the Platform, you grant to Scanz a nonexclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, perform, translate, create derivative works from, distribute, and display such content throughout the world in any media. You represent and warrant that you own or otherwise control all of the rights to the content that you post; that the content is accurate; that use of the content you supply does not violate this policy and will not cause injury to any person or entity; and that you will indemnify Scanz for all claims resulting from content you provide. Scanz takes no responsibility and assumes no liability for any content posted by you or any third party.

5. User Responsibilities

You agree to:

  • Use Platform only for lawful purposes.
  • Not tamper with, misuse, or interfere with vehicle data or any information on the Platform.
  • Not attempt to gain unauthorized access to our systems or data.
  • Not resell, sublicense, or provide unauthorized third parties access to any portion of the Platform.
  • Provide accurate information when creating an account or using the Platform.
  • Keep the Platform active and updated to ensure continued access to vehicle data and services.

6. Prohibited Conduct

You may not use the Platform in any way that:

  • Violates applicable laws or regulations.
  • Infringes the intellectual property or privacy rights of others.
  • Attempts to harm, disrupt, or impair the functioning of the Platform or any service we provide.
  • Collects or harvests information from other users without their consent.
  • Uses automated scripts, bots, or scrapers to interact with the Platform.
  • Tampers with or modifies the Scanz Link device to alter its data collection functionality.

7. Diagnostics Disclaimer

The Platform may provide information based on data from your vehicle’s OBD-II system through a connected Scanz Link Device. While we strive for accuracy, we do not guarantee that all vehicle issues will be detected or accurate, and some diagnostic codes or conditions may not be captured. The Platform, the Scanz Link Device, and the services we provide are intended to support, not replace, professional automotive service and maintenance. You should always consult a licensed automotive professional for repair or safety concerns.

8. Service Availability

We do not guarantee that the Platform will always be available, error-free, or uninterrupted. We may modify, suspend, or discontinue features or services at any time without liability. We are not liable for any damages or injuries caused by or related to delays, failures, or problems with the Platform or any Scanz Link Device.

9. Products and Services on the Platform

All products and services advertised or made available on the Platform, and all descriptions, images, specifications, and prices of products and services on the Platform, are subject to change at any time without notice. Inclusion of any products or services on the Platform does not warrant that these products or services will be available at all times.

If you choose to purchase any product or service made available through the Platform, you will be asked to supply certain information relevant to your transaction including, without limitation, information about your method of payment (such as your payment card number and expiration date), your billing address, and your shipping information. YOU REPRESENT AND WARRANT THAT YOU HAVE THE LEGAL RIGHT TO USE ANY PAYMENT CARD(S) OR OTHER PAYMENT METHOD(S) USED IN CONNECTION WITH ANY TRANSACTION. By submitting such information, you grant to Scanz the right to provide such information to third parties to complete any transactions. You agree to pay all charges incurred by you or on your behalf through the Platform, at the price in effect when such charges are incurred, including all shipping and handling charges and taxes that may be applicable to your transactions.

Scanz reserves the right, with or without prior notice, to: (i) limit the available quantity of or discontinue any product or service; (ii) impose conditions on any discount, sale, coupon, code, or other promotion; and (iii) refuse to provide any user with any product or service.

10. Indemnification

You agree to indemnify and hold harmless, and at Scanz’s option, defend, Scanz and its affiliates, officers, employees, representatives, and agents from any actions, claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to your use of the Platform or a Scanz Link Device, or your violation of these Terms, applicable law, or the rights of another person.

11. Disclaimer of Warranties

THIS PLATFORM, THE SERVICES WE PROVIDE, AND THE MATERIALS ON THIS PLATFORM AND ANY LINKED WEBSITE OR SCANZ LINK DEVICE ARE PROVIDED “AS IS” AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF TITLE AND IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT WARRANT THAT THE FUNCTIONS OF THIS PLATFORM OR ANY LINKED WEBSITE OR SCANZ LINK DEVICE WILL BE UNINTERRUPTED OR ERROR FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THIS PLATFORM, ANY LINKED WEBSITE, ANY CONNECTED DEVICE OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

12. Limitation of Liability

To the fullest extent permitted by law, Scanz and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF SCANZ AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS, THE PLATFORM, OR THE SCANZ LINK DEVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO SCANZ FOR THE SCANZ LINK DEVICE, THE PLATFORM, OR RELATED SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).These limitations apply whether the claims are based on warranty, contract, tort (including negligence), or any other legal theory, even if Scanz has been advised of the possibility of such damages.

13. Governing Law and Dispute Resolution

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, the Scanz Link device, and your use of the Platform or Scanz Link device shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of laws principles. Any dispute between us shall be resolved through binding arbitration conducted in Salt Lake County, Utah, under the rules of the American Arbitration Association. All arbitration proceedings shall be confidential. You agree to resolve disputes on an individual basis and waive any right to participate in a class action lawsuit or jury trial. Notwithstanding the foregoing, either party may bring an individual action in a small claims court located in Salt Lake County, Utah, if the dispute qualifies for that court's jurisdiction. Either party also may seek temporary or preliminary injunctive relief in a court of competent jurisdiction to protect its confidential information or intellectual property pending completion of the arbitration.

14. Third-Party Platforms

The Platform may contain links to third-party websites and advertisements. Such third-party Platforms are not under our control, we make no representation with respect to such Platforms, and we are not responsible for any consequences related to visiting any such Platform. You agree that you use all links to third-party Platforms at your own risk.

15. Termination of Use

We may suspend or terminate your access to the Platform at any time if we believe you have violated these Terms, misused our services, or engaged in unlawful activity. Upon termination, your right to use the Platform will cease.

16. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will provide notice by updating the date at the top of this document. Your continued use of the Platform after changes means you accept the updated Terms.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

18. No Waiver

If we do not enforce a right or provision under these Terms, that does not mean we waive our right to enforce it in the future.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Scanz regarding your use of the Platform and our services, and supersede any prior agreements.

20. Electronic Communication

When you use the Platform or send e-mails, text messages, and other communications from your desktop or mobile device to us, you are communicating with us electronically. You consent to receive communications from us electronically, such as e-mails, texts, mobile push notices, or notices and messages on the Platform. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
